These Terms of Use (“Terms”) govern your use of acepartners.net (the “Site”), operated by Ace Consulting Partners Inc., d/b/a Ace Partners (“Ace Partners,” “we,” “us,” or “our”). By accessing the Site or submitting information, you agree to these Terms and to our Privacy Policy, incorporated by reference. If you do not agree, do not use the Site.
1. We Are Not a Lender
Ace Partners provides alternative business financing and merchant cash advance (“MCA”) brokerage services, and in some cases acts as a direct funder. Except where we expressly act as the direct funder, Ace Partners is not a lender, does not take applications for or make loans or credit decisions, and is not an agent, representative, or broker of any particular lender. We provide a service to connect you with lenders and funding sources in our network. We do not control and are not responsible for any lender’s or funding source’s actions, decisions, rates, terms, or conduct.
2. No Guarantee of Financing
Submitting information does not guarantee approval, funding, or any particular amount, rate, or terms. All financing decisions and terms are made solely by the lenders or funding sources under their own criteria and applicable law.
3. Not Professional Advice
Content on the Site is for general information only and is not financial, legal, accounting, or tax advice. Consult your own advisors before entering any financing arrangement.
4. Eligibility
The Site is for business owners and others at least 18 years old seeking financing for business purposes. By using the Site, you represent that you meet these requirements, that any business you submit information for is legitimate, and that you are authorized to submit that information.
5. Accuracy of Information
You agree that all information you submit is true, accurate, current, and complete, that you are authorized to provide it, and that you will keep it updated. Submitting false, misleading, or unauthorized information is prohibited.
6. Consent to Be Contacted
By submitting your information and providing the consent shown on our forms, you authorize Ace Partners and its marketing partners to contact you at the number and email you provided, including by autodialed or prerecorded calls, text/SMS messages, and electronic communications. Your consent to marketing communications is not a condition of obtaining any loan or financing. Reply STOP to opt out of texts; use the unsubscribe link to opt out of marketing emails.
7. Sharing of Information
As part of our service, we share your information with lenders, funding sources, marketing partners, and, where permitted, lead purchasers, as described in our Privacy Policy. By using the Site, you agree to that sharing.
8. Acceptable Use
You agree not to: use the Site for any unlawful, fraudulent, or unauthorized purpose; submit false, misleading, or unauthorized information; interfere with or disrupt the Site or its security; attempt unauthorized access to the Site or related systems; use bots, scrapers, or other automated means without our written permission; or reproduce or distribute the Site’s content without authorization.
9. Intellectual Property
The Site and its content are owned by or licensed to Ace Partners and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Site for its intended purpose. All other rights are reserved.
10. Third-Party Sites
The Site may link to or interact with third-party websites, lenders, and services we do not control. We are not responsible for their content, products, services, or privacy practices. Your dealings with any lender or funding source are solely between you and that party.
11. Disclaimer of Warranties
THE SITE AND OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY FINANCING WILL BE AVAILABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACE PARTNERS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to indemnify and hold harmless Ace Partners and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Site, your submission of information, your violation of these Terms, or your violation of any law or third-party right.
14. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Except for claims that may be brought in small claims court, any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, in or near Suffolk County, New York, in English. You and Ace Partners each waive the right to a jury trial and the right to participate in any class, collective, or representative action; arbitration will proceed only on an individual basis. If the class action waiver is found unenforceable, this entire arbitration provision is void. You may opt out of arbitration by sending written notice to the address in Section 18 within 30 days of first accepting these Terms.
15. Governing Law
These Terms are governed by New York law, without regard to conflict-of-laws principles. Subject to Section 14, any action not subject to arbitration will be brought exclusively in the state or federal courts in Suffolk County, New York, and you consent to their jurisdiction.
16. Termination
We may suspend or terminate your access at any time, with or without cause or notice. Provisions that by their nature should survive (including Sections 9 through 15 and 17) will survive.
17. Entire Agreement; Severability; Waiver
These Terms, with the Privacy Policy and any consent language on our forms, are the entire agreement between you and Ace Partners regarding the Site. If any provision is unenforceable, the rest remain in effect. Our failure to enforce any provision is not a waiver.
